These terms govern your use of Privybox, a desktop application and related services provided by Pacentra Consulting Pty Limited (ABN 42 698 840 096), 156 Victoria Rd, Hawthorn East VIC 3123, Australia ("Pacentra Consulting", "we", "us"). By downloading, installing, or using Privybox, or by subscribing to Privybox Pro, you agree to these terms.
Privybox is a local-first AI knowledge base application. The Community (Free) tier lets you index and query text-based documents entirely on your own device. The Pro tier is a paid subscription that adds support for additional file formats (Word, PDF, PowerPoint, Excel) and priority updates. An Enterprise offering, covering on-premise deployment and integration work, is governed by a separate agreement entered into directly with us and is not covered by these terms.
Privybox Pro is billed at USD $10 per month through Stripe, our payment processor. New subscriptions include a 14-day free trial. A valid payment card is required to start the trial; unless you cancel before the trial ends, your card will be charged automatically when the trial period ends, and your subscription will continue to renew monthly until cancelled.
You can cancel at any time from within the app ("Manage subscription"), which opens Stripe's secure billing portal. If you cancel, you'll continue to have Pro access through the end of your current billing period, after which your account reverts to the Free tier — your existing indexed data stays on your own device either way, since nothing is stored on our servers.
Except where required by law, payments are non-refundable for partial billing periods. If something's gone wrong with a charge, email support@privybox.io and we'll sort it out.
You retain all rights to the documents and data you index with Privybox. Because document processing happens entirely on your own device, we never receive, store, or claim any rights to your content — there's nothing for us to have rights to.
We grant you a personal, non-exclusive, non-transferable license to install and use Privybox for your own internal purposes, subject to these terms. You may not reverse engineer, redistribute, resell, or attempt to circumvent the license/subscription checks in the software. Privybox uses open-weight AI models (via Ollama) that are licensed separately under their own respective terms.
You agree not to use Privybox to process or generate content that's illegal, and not to attempt to disrupt, reverse engineer, or abuse our license server or website.
Privybox uses AI models to answer questions about your documents. Like any AI system, it can produce inaccurate, incomplete, or misleading answers, especially for enumeration-style questions or documents outside its context window. You're responsible for independently verifying anything important before relying on it — the app displays an AI-use disclaimer on first launch for this reason.
Privybox is provided "as is" and "as available," without warranties of any kind, express or implied, including fitness for a particular purpose, to the maximum extent permitted by law. Nothing in these terms excludes, restricts, or modifies any consumer guarantee, right, or remedy you have under the Australian Consumer Law or other law that cannot lawfully be excluded.
To the maximum extent permitted by law, Pacentra Consulting's total liability arising out of or related to Privybox is limited to the amount you paid us in the 12 months before the claim arose, and we're not liable for indirect, incidental, or consequential damages.
We may suspend or terminate your access to Pro features if you materially breach these terms, including attempts to circumvent licensing. You can stop using Privybox, or cancel your subscription, at any time.
We may update these terms from time to time. Material changes will be reflected on this page with an updated "Last updated" date. Continuing to use Privybox after a change means you accept the updated terms.
These terms are governed by the laws of Victoria, Australia, without regard to its conflict of law principles.
